Summary:
We are seeking an accomplished Head of Legal to lead our corporate legal department in Baku, Azerbaijan, within the mining sector. The ideal candidate will oversee all legal matters related to corporate governance, compliance, risk management, contracts, and regulatory affairs, acting as a strategic advisor to senior leadership. Expertise in production sharing arrangements (PSAs) and mining law is essential.

Key Responsibilities:
Lead and manage the corporate legal function, including a team of in-house lawyers and legal support staff, with a focus on mining sector operations.
Provide strategic legal advice to the Board of Directors, CEO, and executive team on all corporate and mining-related legal matters.
Oversee and ensure compliance with all applicable corporate, mining, and environmental laws, regulations, and governance standards.
Draft, negotiate, and review high-level commercial agreements, including those related to mergers, acquisitions, joint ventures, and PSAs in the mining industry
Represent the company in legal proceedings, regulatory hearings, and negotiations with government authorities, particularly in matters involving mining rights and PSAs.
Develop and implement internal legal policies, procedures, and training programs to mitigate risk and promote best practices in the mining sector.
Monitor and interpret changes in legislation affecting the company, especially those relevant to mining operations and production sharing.
Manage legal aspects of financing, restructuring, and major business transactions, ensuring alignment with industry standards and company objectives.
Ensure accurate documentation and reporting for board and shareholder meetings, with a focus on transparency and regulatory compliance.
Foster a strong culture of ethics, compliance, and corporate responsibility throughout the organisation.
Qualifications:
Law degree from a recognised institution; licensed to practice law in Azerbaijan.
At least 10 years of progressive legal experience in corporate law, including leadership roles, with significant exposure to the mining sector.
Strong knowledge of corporate governance, commercial law, M&A, compliance frameworks, and production sharing arrangements.
Proven ability to develop and execute legal strategies in complex, multinational business environments.
Exceptional communication, leadership, and negotiation skills.
Fluency in English and Azerbaijani is required; Russian language skills are an advantage.
Preferred:
Master’s in law (LLM), MBA, or other relevant postgraduate qualifications.
Prior experience working with multinational or publicly listed mining or extractive industry companies.
In-depth knowledge of PSA agreements and their application in the mining sector.
